Agreement to Terms

Service Engagement

Booking and Contracts

Event planning services are provided based on written agreements between the client and AwesomeEventPulse AZ. All service engagements require a signed contract outlining:

• Scope of services
• Deliverables and timeline
• Payment terms and schedule
• Cancellation and modification policies
• Liability and insurance requirements

Client Responsibilities

Clients are responsible for:

• Providing accurate and complete information about event requirements
• Making timely decisions and approvals as needed
• Meeting payment obligations according to the agreed schedule
• Providing necessary access to venues, vendors, and resources
• Complying with all applicable laws and regulations

Payment Terms

Fees and Charges

• Service fees will be outlined in individual service agreements
• A deposit may be required to secure event planning services
• Additional charges may apply for services outside the original scope
• All fees are quoted in the agreed currency and are subject to applicable taxes

Payment Schedule

• Deposit: Typically required upon contract signing
• Progress payments: As outlined in the service agreement
• Final payment: Usually due before or on the event date

Late Payments

Late payments may result in suspension of services, additional fees, or cancellation of the event planning agreement.

Cancellations and Modifications

Client Cancellations

• Cancellations must be made in writing
• Cancellation fees apply as specified in the service agreement
• Deposits are typically non-refundable
• Cancellation fees increase as the event date approaches

Modifications

Changes to event plans may result in additional fees or adjusted timelines. All modifications must be agreed upon in writing by both parties.

Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including natural disasters, pandemics, government actions, or other force majeure events.

Intellectual Property

All content, designs, concepts, and materials created by AwesomeEventPulse AZ remain our intellectual property unless otherwise agreed in writing. Clients may not reproduce, distribute, or use such materials without our express written consent.

Confidentiality

Both parties agree to maintain confidentiality of all sensitive information shared during the course of service engagement, including business plans, event details, and proprietary information.

Liability and Indemnification

Limitation of Liability

AwesomeEventPulse AZ shall not be liable for:

• Acts or omissions of third-party vendors
• Circumstances beyond our reasonable control
• Indirect, incidental, or consequential damages
• Losses resulting from client's failure to fulfill obligations

Indemnification

Clients agree to indemnify and hold harmless AwesomeEventPulse AZ from any claims, damages, or expenses arising from the client's event or breach of these terms.

Insurance

Clients are responsible for obtaining appropriate insurance coverage for their events. We recommend comprehensive event insurance covering cancellation, liability, and other risks.

Vendor Relationships

AwesomeEventPulse AZ works with trusted third-party vendors. While we exercise reasonable care in vendor selection, we are not responsible for vendor performance or quality beyond our direct control.

Photography and Marketing

Unless otherwise agreed, AwesomeEventPulse AZ may photograph events and use images for marketing purposes. Clients who object must notify us in writing before the event.

Dispute Resolution

Any disputes arising from these terms shall be resolved through:

1. Good faith negotiation between parties
2. Mediation by a mutually agreed mediator
3. Arbitration or legal proceedings in Nakhchivan City, Azerbaijan

Governing Law

These Terms and Conditions are governed by the laws of the Republic of Azerbaijan. Any legal proceedings shall be conducted in the courts of Nakhchivan City, Azerbaijan.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Amendments

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
